1. Acceptance of these terms
These Terms of Service (“Terms”) form a binding agreement between you and Desby OS (“Desby”, “we”, “us”) governing your access to and use of our website at desby.app, our applications and related services (the “Services”). By creating an account, browsing the public shop, or using any part of the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility & accounts
- You must be at least 13 years old to create an account. Users under 18 may use the Services only with the involvement and consent of a parent or guardian (and, for apprentices, under the supervision of an apprenticeship master).
- You agree to provide accurate, current information during sign-up and onboarding, and to keep it updated.
- You are responsible for keeping your password and device secure, and for all activity under your account. Tell us immediately at hello@desby.app if you suspect unauthorised access.
- You may not transfer or sell your account.
3. Roles on Desby
Desby supports four primary roles, each with additional responsibilities below.
3.1 Tailors & clothing brands
- You may publish designs and products, manage clients and measurement ledgers, price jobs, and coordinate deliveries through the Services.
- You are responsible for the accuracy of your listings, for honouring orders you accept, for the quality and safety of your work, and for complying with all laws that apply to your business, including tax and consumer protection obligations.
- Client measurement records you hold are controlled by you; you must handle them lawfully and keep them confidential.
3.2 Clients
- You may browse the public shop, take AI body scans, run virtual try-ons, book tailors and place orders.
- Bookings made through the Services are agreements directly between you and the tailor. Desby is not a party to that agreement, though we facilitate payment and communication.
3.3 Apprentices
- You may access learning modules, submit tasks and track progress under a master tailor.
- Work products you create during apprenticeship tasks belong as agreed with your master; absent agreement, ownership follows your apprenticeship contract, which is separate from these Terms.
3.4 Fabric sellers
- You may list fabric inventory with wholesale tiers and manage stock through the Services.
- The same listing accuracy and fulfilment responsibilities as tailors apply to you.
4. Marketplace listings & orders
- Listings must be genuine, accurately described, and use photos of the actual work being sold. Misleading listings — including AI-generated imagery presented as real past work — may be removed.
- Prices are shown in Nigerian Naira unless stated otherwise, and may include or exclude fabric as described on the listing.
- Once a client books an order, the tailor should accept or decline promptly. Repeated non-acceptance or non-delivery may lead to reduced visibility or account suspension.
- Verification badges are based on information a user provides; they are not warranties of quality.
5. Payments
- Payments are processed by third-party licensed payment processors. We do not store your card details.
- Optional subscription plans renew automatically until cancelled; you can cancel at any time and retain access until the end of the paid period.
- Refunds for bespoke work are primarily a matter between client and tailor under their agreement. Where a payment failed, was duplicated, or is covered by an express Desby refund promise, contact hello@desby.app and we will help resolve it.
- We may deduct disclosed platform fees or commissions on orders facilitated through the Services.
6. Delivery
- Rider dispatch is provided through third-party logistics partners. Delivery times are estimates, not guarantees.
- Risk in a piece passes on delivery; proof of delivery (photo/signature) recorded by the rider is prima facie evidence of delivery.
- Address errors supplied by the requesting party may cause delays or additional charges.
7. AI features
- The AI Body Scan estimates body measurements from photos; Virtual Try-On renders designs on photos. Results are estimates for fitting and visualisation and may be imperfect.
- Only upload photos of yourself or of people who have given you permission. Uploading images of third parties without consent is prohibited.
- Do not use AI features to create misleading, offensive or infringing imagery.
- AI outputs are not medical or professional advice.
8. Apprenticeship programme
- Masters agree to provide the learning, grading and feedback described in their programme; apprentices agree to complete tasks honestly and not to plagiarise submissions.
- Any allowance, employment arrangement or indenture between master and apprentice is a separate private agreement. Desby provides learning-tracking tools only and is not a party to it.
- Masters must treat learners fairly and may not use Desby to facilitate exploitation or unlawful work conditions.
9. Your content
- You keep ownership of the designs, photos, descriptions and other content you create (“Your Content”).
- You grant Desby a worldwide, royalty-free licence to host, store, reproduce and display Your Content strictly to operate and promote the Services — for example, showing your public listings in the shop.
- You are responsible for Your Content and confirm you have the rights needed to publish it, including rights to any fabric prints, embroidery patterns or brand elements depicted.
- If you believe content on Desby infringes your rights, notify us with details and we will investigate and, where appropriate, remove it.
10. Acceptable use
You agree not to:
- Violate any applicable law or regulation, including the NDPA, cybercrime and consumer protection laws.
- Scrape, reverse-engineer, overload or interfere with the Services, or circumvent authentication or rate limits.
- Impersonate any person or business, or publish false reviews or fraudulent listings.
- Upload malicious code, or content that is defamatory, hateful, obscene, or infringes others’ rights.
- Use other users’ data (including measurement data) for anything outside a specific order without their explicit consent.
11. Intellectual property
The Desby name, logo, interface, code and design are owned by Desby OS and protected by intellectual property laws. Nothing in these Terms transfers ownership to you. You may not use our branding without written permission, except as needed to accurately refer to the Services.
12. Suspension & termination
- You may stop using the Services and delete your account at any time.
- We may suspend or terminate access where you breach these Terms, create risk or legal exposure for us or other users, or as required by law — with notice where practicable.
- On termination, licences end and data is handled per the Privacy Policy’s retention section. Completed orders and legal records survive termination.
13. Disclaimers
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Desby disclaims warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free. We do not endorse, guarantee or accept liability for the work, conduct or listings of tailors, fabric sellers, masters or apprentices, who are independent businesses. AI outputs are estimates and not professional advice.
14. Limitation of liability
To the maximum extent permitted by law, Desby’s total liability arising out of or relating to the Services is limited to the greater of (a) the amount you paid us in the 6 months before the claim, or (b) ₦50,000. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Nothing limits liability that cannot be limited by law, including for death or personal injury caused by negligence or for fraud.
15. Indemnity
You agree to indemnify and hold harmless Desby OS from claims, damages, losses and expenses (including reasonable legal fees) arising from Your Content, your breach of these Terms, or your dealings with other users conducted through the Services.
16. Governing law & disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction over disputes. Before litigating, please contact us — most issues are resolved quickly by email.
17. Changes to these terms
We may update these Terms as the Services evolve. Material changes will be announced in-app or by email at least 7 days before they take effect. Continuing to use the Services after changes take effect means you accept the updated Terms.
